MASTeR SeRVICe AGReeMeNT
Plain English. This agreement explains how BuzzFam! and each customer work together.
This Master Services Agreement (the "Agreement") is between BuzzFam! Advertising ("BuzzFam!," "we," "us") and the customer named in an accepted Order Form (the "Client," "you"). The Agreement and each accepted Order Form work together as one contract.
1. HOW THeSe TeRMS WORK
An "Order Form" is a BuzzFam! proposal, quote, checkout record, invoice, or other written order that identifies the Client and states the selected service, price, implementation fee, recurring fee, Service Start Date, included quantities, supported channels, and any special terms. An Order Form becomes binding when both sides sign or electronically accept it, when you submit an onboarding form that clearly refers to it and this Agreement, or when you pay an invoice that refers to it and this Agreement.
The Order Form controls its specific business terms, including price, quantities, dates, and scope. This Agreement controls the general legal and operating terms. A later written change order signed or electronically accepted by both sides controls only the items it changes.
2. KeY DeFINITIONS
- Concept: one original core content idea, including its central message, base caption or copy direction, and creative direction.
- Adaptation: a version of the same Concept adjusted for a platform's format, length, dimensions, or audience conventions. An Adaptation is not a new Concept.
- Placement: one scheduled or published instance of content to one profile, channel, or location. The same Concept sent to multiple profiles counts as multiple Placements.
- Blog: one article plus the SEO title, meta description, and featured image only when those items are listed in the Order Form. A Blog is not a landing page, newsletter, or website redesign.
- Revision: a requested change to a delivered item that keeps the approved audience, offer, strategy, Brand Guidelines, and main Concept.
- Quality Error: an objective mistake introduced by BuzzFam!, such as the wrong approved logo, a broken link we inserted, a clear factual departure from information you supplied, or a failure to follow an express requirement in the Order Form or approved Brand Guidelines.
- New Direction: a request that changes the audience, offer, strategy, voice, factual claim, source materials, structure, or main Concept after work has been delivered. A replacement Concept is also a New Direction.
3. SeRVICeS AND SCOPe
BuzzFam! will provide only the services and quantities stated in the accepted Order Form. Examples may include social Concepts, Adaptations, Placements, Blogs, Google Business Profile content, newsletters, images, short-form video, SEO work, website work, CRM setup, or reporting. A public pricing page or sales conversation does not expand an accepted Order Form.
Anything not listed is outside scope. Unless an Order Form says otherwise, services do not include community management, direct-message replies, live comment replies, customer support, crisis communications, ad spend, paid-ad management, original filming, unlimited revisions, custom software, unsupported integrations, legal review, or regulated-industry compliance review.
4. ONBOARDING AND BRAND GUIDeLINeS
You will provide the access, files, facts, approvals, and decisions reasonably needed for onboarding. BuzzFam! will use the approved onboarding information to prepare or update your Brand Guidelines, which may cover voice, audience, offers, visual rules, prohibited topics, factual claims, and platform preferences. The approved version becomes the working brief until both sides approve an update.
If your instructions conflict, the latest written instruction from your Authorized Approver controls. A material change to approved Brand Guidelines may be a New Direction, may require a change order, and may affect delivery timing.
5. MONTHLY DeLIVeRY AND APPROVAL
BuzzFam! delivers every social item, Blog, newsletter, Google Business Profile update, graphic, motion item, and other monthly content-plan item to the review queue in your own designated GoHighLevel sub-account. An item is delivered when it is available in that review queue, even if you have not yet opened or acted on it. An Order Form may name another delivery system only for a separate non-content deliverable that cannot use the GoHighLevel workflow. It may not replace the GoHighLevel approval gate for social or blog content.
Every social item, Blog, page, or other publishable item requires its own affirmative approval from your Authorized Approver before it may be scheduled or published. Silence, inactivity, an expired deadline, a prior month's approval, or approval of a related Concept never counts as approval. Unapproved content will not be published.
Approval confirms that you reviewed the item and believe its facts, claims, prices, offers, disclosures, links, spelling of names, and brand presentation are accurate and lawful. BuzzFam! may rely on that approval. If a platform permits approval notes or status history, that record will be used as the approval record.
6. CUTOFFS, DeADLINeS, AND NO ROLLOVeR
The Order Form, content calendar, or review queue may state monthly information cutoffs and approval deadlines. You must provide current offers, events, facts, media, and other time-sensitive information by the stated cutoff. If you miss it, BuzzFam! may use the approved evergreen Brand Guidelines, omit the time-sensitive item, or move the affected item to a later available production window.
Reserved monthly production capacity expires at the end of that service month. Unused quantities, late requests, unapproved items, and Client-caused delays do not roll over, accumulate, create a refund, or reduce the next invoice unless BuzzFam! agrees otherwise in writing. Billing continues because production capacity and delivery work were reserved for you.
7. ReVISIONS, eRRORS, AND NeW DIReCTION
Unless an Order Form says otherwise, a rejected item includes one automated Revision. Your rejection must identify the requested change in one consolidated response. BuzzFam! may ask for clarification before the Revision is generated.
A reasonable correction of a verified Quality Error does not use the included Revision. A personal preference that remains within the accepted Brand Guidelines is not automatically a Quality Error. A New Direction, additional Revision, replacement Concept, or request made after the review window is extra work and may require an add-on, a change order, or placement in a later month.
8. YOUR ReSPONSIBILITIeS
You will name one person as your "Authorized Approver." That person's approvals, rejections, and instructions bind the Client. You are responsible for resolving internal disagreement before sending feedback to BuzzFam!.
You confirm that information and claims you provide are accurate, current, supportable, and lawful. You also confirm that you own or have permission to use all logos, trademarks, photos, videos, music, testimonials, names, likenesses, fonts, data, and other materials you provide. You are responsible for required licenses, releases, disclosures, contest rules, professional review, and industry-specific compliance.
BuzzFam! is not your lawyer, accountant, medical professional, financial adviser, or regulatory compliance officer. You must obtain qualified review for legal, medical, financial, safety, employment, credit, housing, insurance, political, or other regulated claims before approval.
9. FeeS, BILLING, AND PASS-THROUGH COSTS
The implementation fee and the first monthly service fee are separate charges. Both are due before onboarding or production begins unless the Order Form states a different schedule. The implementation fee pays for onboarding, Brand Guidelines, account configuration, integrations, testing, and launch work. It is not payment for the first service month and is nonrefundable once implementation work begins.
Recurring fees are billed in advance. Amounts already earned for implementation, reserved capacity, or completed work are nonrefundable. There are no prorated refunds for a partial billing period. BuzzFam! will give at least 30 days' notice before a recurring price change, and no price change will take effect during the Initial Term unless both sides agree in writing.
You are responsible for customer-specific usage charges and optional add-ons identified in the Order Form or approved later, including phone numbers, calls, text messages, email delivery, premium AI features, SEO tools, listings, domains, hosting, media licenses, and similar third-party services. These may be rebilled at cost or with the markup disclosed before activation. Advertising spend is always separate unless expressly stated.
You authorize recurring charges to the payment method on file. You are responsible for taxes imposed on your purchase, excluding taxes on BuzzFam!'s net income. Past-due amounts, failed payments, chargebacks, or revoked payment authorization may result in suspension after reasonable notice.
10. TeRM AND CANCeLLATION
The initial service term is 90 days beginning on the Service Start Date in the Order Form (the "Initial Term"). After the Initial Term, service automatically continues month to month until cancelled.
Either side may cancel recurring service by giving at least 30 days' written notice. A cancellation notice given during the Initial Term takes effect no earlier than the end of the Initial Term, and all fees through that date remain due. After the Initial Term, cancellation takes effect at the end of the billing period in which the 30th day after notice falls. Work and billing continue through the effective cancellation date.
Either side may end an Order Form for a material breach if the other side receives written notice and does not correct the breach within 10 days, when correction is reasonably possible. BuzzFam! may end service immediately for unlawful use, credible safety risk, abuse, fraud, or conduct that could materially harm BuzzFam!, another customer, or a connected platform.
11. AI-ASSISTeD PRODUCTION
You authorize BuzzFam! to use artificial intelligence, automation, and third-party production tools to help draft, adapt, illustrate, inspect, organize, and deliver work. These tools may include OpenAI and other providers selected under BuzzFam!'s production process. BuzzFam! will apply the quality controls stated in the Order Form and Brand Guidelines, but your per-item approval remains the final publication gate.
AI-assisted output may not be unique, and another person or system may create similar output. BuzzFam! does not promise that AI-assisted material is exclusive, registrable, or protected by copyright or trademark law. You should not provide unnecessary sensitive personal information, trade secrets, or regulated data for content generation.
12. ACCOUNTS, PLATFORMS, AND OUTAGeS
You will maintain valid access, permissions, connected accounts, and platform eligibility. You must promptly reconnect expired or disconnected accounts. BuzzFam! supports only the systems, channels, formats, and integrations identified in the Order Form.
Third-party platforms control their own availability, rules, review processes, algorithms, data exports, and account actions. BuzzFam! is not responsible for an outage, rejection, delayed review, API change, lost connection, reduced reach, policy change, suspension, deletion, or other event outside BuzzFam!'s reasonable control. BuzzFam! will make commercially reasonable efforts to retry or reroute supported work, but those events do not create a results guarantee or automatic refund.
13. OWNeRSHIP AND PORTFOLIO USe
You keep ownership of materials you provide. After all related invoices are paid, BuzzFam! assigns to you its transferable rights in the final deliverables specifically identified in the Order Form. Third-party materials, stock media, fonts, music, software, and platform components remain subject to their own licenses.
BuzzFam! keeps ownership of its software, prompts, systems, automation, workflows, templates, methods, know-how, reusable components, internal quality rules, and materials created before or outside your Order Form. If a retained BuzzFam! component is embedded in a final deliverable, you receive a nonexclusive license to use that component only as part of the paid deliverable.
BuzzFam! may publicly display your name, logo, work, results, or story only when you affirmatively opt in in writing. Any permission may identify approved examples and limits. You may withdraw that permission prospectively in writing, and BuzzFam! will stop new use within a reasonable time.
14. CONFIDeNTIALITY, PRIVACY, AND SeCURITY
Each side will use the other side's nonpublic business information only to perform or receive the services, protect it with reasonable care, and share it only with people and service providers who need it and are bound to protect it. This duty does not cover information that was already lawfully known, becomes public without breach, is independently developed, or is lawfully received from another source.
A party may disclose confidential information when lawfully required, after giving notice when legally permitted. BuzzFam! uses reasonable administrative, technical, and organizational safeguards, but no online system can be guaranteed completely secure. BuzzFam!'s collection and handling of personal information is further described in its Privacy Policy.
15. NO ReSULTS GUARANTee
Marketing results depend on the Client's offer, market, pricing, sales process, reputation, competition, platform behavior, customer demand, and many other factors. BuzzFam! does not guarantee rankings, reach, followers, engagement, leads, appointments, revenue, sales, savings, return on investment, or any other business result. Reports and forecasts are informational and are not promises.
16. SUSPeNSION
BuzzFam! may suspend work or publishing after reasonable notice when payment is past due, required access is missing, an account is disconnected, approval delays prevent safe performance, Client materials create a credible legal or platform risk, or the Client otherwise materially breaches this Agreement. BuzzFam! may remove or disable content that it reasonably believes is unlawful, unsafe, infringing, deceptive, or prohibited by a platform.
If the suspension results from the Client's acts or omissions, the term, deadlines, and recurring fees continue, and missed capacity does not roll over. BuzzFam! will not charge for a suspension caused solely by BuzzFam!'s uncured material breach.
17. OFFBOARDING AND eXPORT
When service ends and all invoices are paid, BuzzFam! will stop new recurring production and cancel future recurring billing as of the effective cancellation date. On written request made within 30 days after that date, BuzzFam! will provide a commercially reasonable export or transfer of final paid deliverables and Client-provided data in the formats then available from the applicable systems.
You are responsible for downloading and preserving your materials. Platform limitations may prevent a complete export or account transfer. BuzzFam! is not required to transfer its agency account, software license, internal tools, workflows, prompts, templates, or another customer's configuration. Data may be deleted after the offboarding period as described in the Privacy Policy, subject to legal, backup, security, and recordkeeping needs.
18. PROMISeS AND INDeMNITY
Each side promises that it has authority to enter this Agreement and will follow applicable law in performing its responsibilities. Each side will defend and indemnify the other against a third-party claim to the extent caused by its own unlawful conduct, willful misconduct, or material breach of these promises.
The Client will also defend and indemnify BuzzFam! against a third-party claim arising from Client-provided materials, Client-provided facts or claims, the Client's products or services, or content the Client approved, except to the extent the claim was caused by BuzzFam!'s gross negligence or willful misconduct. The protected party must give prompt notice, allow reasonable control of the defense, and provide reasonable cooperation. No settlement may admit fault or impose a nonfinancial duty on the protected party without its written consent.
19. LIMITS ON LIABILITY
To the fullest extent allowed by law, neither side is liable to the other for lost profits, lost revenue, lost data, loss of goodwill, or indirect, incidental, special, exemplary, or consequential damages arising from this Agreement, even if advised that such loss was possible.
To the fullest extent allowed by law, BuzzFam!'s total liability arising from an Order Form will not exceed the service fees the Client paid under that Order Form during the three months immediately before the event giving rise to the claim. This limit does not apply to liability that cannot lawfully be limited, or to BuzzFam!'s fraud, gross negligence, or willful misconduct. Nothing in this section limits the Client's duty to pay valid invoices or either side's obligations concerning misuse of the other side's intellectual property or confidential information.
20. GeNeRAL TeRMS
Neither side is responsible for delay caused by events beyond its reasonable control, including natural disasters, utility or internet failures, labor disruption, war, government action, platform outages, or widespread provider failures. The affected side will give notice when practical and resume performance when reasonably possible.
Notices must be in writing. Notices to BuzzFam! must be sent to hello@buzzfam.biz. Notices to the Client may be sent to the billing or Authorized Approver email in the Order Form. Routine content feedback inside GoHighLevel is not a cancellation or breach notice.
You may not assign this Agreement without BuzzFam!'s written consent, except as part of a sale of substantially all of your business. BuzzFam! may assign it as part of a merger, reorganization, or sale of substantially all of BuzzFam!'s business. Neither side creates a partnership, employment, fiduciary, franchise, or joint venture relationship with the other.
This Agreement and its Order Forms are the complete agreement about the services and replace earlier discussions on the same subject. California law governs, without regard to conflict-of-law rules. The parties consent to the state and federal courts located in the California county where BuzzFam!'s principal office is then located, except where applicable law requires another forum. If a term is unenforceable, it will be narrowed only as needed and the rest will remain effective. A waiver must be in writing and applies only to that instance.
BuzzFam! may update this Agreement by giving at least 30 days' written notice. A material update applies no earlier than the next renewal after that notice and will not shorten an active Initial Term or change an accepted Order Form without both sides' agreement.
